Independent Contractor Agreement
THIS AGREEMENT (“Agreement”) is entered into by (instructor) and between CHICAGO COMMUNITY LEARNING CENTER, INC, an Illinois corporation, and the undersigned (the “Contractor”), also known as CCLC.
Consultant agrees to be an Instructor for CHICAGO COMMUNITY LEARNING CENTER, INC.
CHICAGO COMMUNITY LEARNING CENTER, INC. wishes to engage the above instructor for purposes specific to the Nursing Assistant (CNA) instruction at the Evergreen or at Thorek campuses as directed by the Administrator, Ms. Angie Spencer.
The consultant agrees to provide services for the compensation and payment terms of an hour.
It is the express intention of the parties that the instructor is an independent contractor and not an agent, joint venture, or partner of CHICAGO COMMUNITY LEARNING CENTER, INC. Nothing in this Agreement shall be interpreted or construed as creating or establishing the relationship of employer or employee between CHICAGO COMMUNITY LEARNING CENTER, INC and Contractor or any employee or agent of, or persons engaged by, Contractor in performing its obligations hereunder.
The contractor shall make whatever payments may be due to his or her employees, agents, and others engaged by the instructor and will comply with all government regulations. The contractor shall indemnify and hold harmless CHICAGO COMMUNITY LEARNING CENTER, INC, against any claims and demands resulting from the instructor’s failure to comply with the provisions of this Article.
The parties hereto acknowledge and agree that as each is an independent contractor, no party has any power to act on behalf of the other and will take no action or make any representation to the contrary.
It is understood that is acting as an independent contractor instructor, not an agent or employee of CCLC, and is therefore not eligible to lay claims to benefits from retirement, Social Security, PERS, State Unemployment Insurance, Workers Compensation, or to those benefits reserved for employees of CCLC.
The Recruitment Specialist shall be responsible for paying his/her medical bills for any personal illness or injuries occurring during the term of this contract.
Independent Contractor shall receive 1099-MISC for all work performed by ADP accounting services. All tax liabilities shall be the sole responsibilities of the Independent contractor.
Instructor agrees during the term of this Agreement and thereafter to take all steps reasonably necessary to hold in trust and confidence information which he knows or has reason to know is considered confidential by CHICAGO COMMUNITY LEARNING CENTER, INC (“Confidential Information”).
The consultant/instructor agrees to use confidential information solely to perform the services required by CCLC. Confidential Information includes but is not limited to technical and business information relating to CHICAGO COMMUNITY LEARNING CENTER, INC inventions or products, research and development, manufacturing and engineering processes, and future business plans.
Consultant/instructor’s obligations with respect to the Confidential Information also extend to any third party’s proprietary or confidential information disclosed to Contractor while providing services to CHICAGO COMMUNITY LEARNING CENTER, INC. This obligation shall not extend to any information that becomes generally known to the public without breach of this Agreement.
This obligation shall survive the termination of this Agreement. Breach of confidentiality or known attempts to “compete” will be seen as egregious behavior by the specialist and will result in immediate termination.
Any attempts by a contractor to interfere with the operation of CCLC will result in termination of this agreement.
5.1 Termination by CHICAGO COMMUNITY LEARNING CENTER, INC
CHICAGO COMMUNITY LEARNING CENTER, INC may terminate this Agreement at any time upon fourteen (14) days
prior written notice to the consultant/instructor. CHICAGO COMMUNITY LEARNING CENTER, INC also may
terminate this Agreement immediately in its sole discretion upon the Contractor/instructor's material
breach of this Agreement and/or upon any acts of gross misconduct directly affecting this Agreement or
the independent contractor relationship.
5.2 Termination by Contractor
The consultant/instructor may terminate this agreement at any time by giving 14-day written notice.
5.3 Termination Results
Where either party terminates this Agreement, CHICAGO COMMUNITY LEARNING CENTER, INC shall not be liable
for service fees to Contractor/instructor under this Agreement except to the extent (determined on a
pro-rata basis) that CHICAGO COMMUNITY LEARNING CENTER, INC receives and accepts the work, code or
materials produced by Contractor under this Agreement.
Independent Contractor Agreement – Exhibit A
Position Description:
- This position reports to Angie Spencer, BS, MHA, CCLC Administrator.
- Responsible for CNA Instruction in theory and skills, and supervising the students as they apply this knowledge in their skills/clinical tasks.
- Responsible for classroom preparation.
- Promotes a positive and desirable atmosphere within the classroom setting to ensure maximum student motivation.
- Assess the needs of students to assist them in obtaining their highest level of functioning.
- Utilizes all possible curriculum resources available with approval from the CCLC Administrator.
- Accurately records daily attendance on sign-in sheets or assigned platforms.
- Responsible for reports required by administrators such as requisitions and assigned student progress reports to absolute accuracy.
- Assess the classroom for needed supplies in collaboration with other instructors.
Summary of Position Description:
Teach assigned courses by course competencies and syllabi. Develop and/or utilize a variety of instructional strategies, techniques, and delivery methods designed to meet the individual learning styles of students. Foster a safe and civil learning environment. Inform students about course requirements, evaluation/progress report procedures, and attendance policy. Monitor, evaluate, and document student attendance, progress, and competency attainment. Evaluate students to measure their progress toward achievement of stated course outcomes within school policy and procedures.
Independent Contractor Agreement – Exhibit B
I. Services
Instructor position based on qualifications, and the initial term of twelve months.
II. Specifications
Job duties have been individually trained and assigned to the aforementioned Contractor.
III. Duration
Per the planned schedule by CCLC’s Administrator Angie Spencer.
IV. Fees and Payment
Fee. Independent Contractor agrees to perform services for the compensation and payment terms of $ per hour.
A. Fees and Approved Expenses. CHICAGO COMMUNITY LEARNING CENTER, INC will pay the consultant/instructor the added expenses incurred on the timesheet and approve them by the administrator.
B. Payment Term. CHICAGO COMMUNITY LEARNING CENTER, INC will pay the contractor for services rendered bi-weekly per payment via bank direct deposit from ADP.
